Résumé

Cette thèse propose une approche novatrice des principes de gouvernement d'entreprises sous l'angle d'investissements stratégiques. Dans une première partie, nous expliquerons l'approche théorique de l'investissement en gouvernement. Dans un premier chapitre, nous présenterons la conceptualisation du gouvernement d'entreprises, en rappelant sa problématique et les modèles de gouvernements développés. Dans un deuxième chapitre,nous définirons la notion d'investissement en gouvermement, en précisant sa sélection et le contrôle de ses performances. Dans une seconde partie, nous analyserons la pratique française de l'investissement en gouvernement. Dans un troisième chapitre, nous identifierons les caractéristiques de l'investissement en gouvernement en France, à partir d'études sur l'approche managériale et actionnariale de l'investissement en gouvernement. Dans un quatrième chapitre, nous examinerons la rentabilité de l'investissement en gouvernement en France, à partir d'études sur ses performances, et sur le verdict des actionnnaires à son égard. Ceci déterminera l'évolution et l'avenir de l'investissement en gouvernement.

The investment in corporate governance : the french experience

Résumé

This thesis suggests a new approach of the principles of corporate governance as strategic investments. In a first part, we'll explain the theoretical approach of the investment in governance. In a first chapter, we'll introduce the conceptualisation of the corporate governance, by mentioning his problematic, and the expanded corporate governance models. In a second chapter, we'll define the notion of investment in governance, by specifying his selection and the control of his performances. In a second part, we'll analyse the French practical of investment in governance. In a third chapter, we'll identify the characteristics of the investment in governance in France, from studies on the managerial and shareholderial approach of investment in governance. In a fourth chapter, we'll examine the profitability of the investment in governance in France, from studies on the performances of the investment in governance, on the verdict of the shareholders towards it. It'll determine the evolution and the future of the investment in governance.
